1. Introduction and Acceptance

1.1 About These Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between MCSQUAREX LLP, a company incorporated under the Limited Liability Partnership Act, 2008 and having its registered office at North Street, Marthandam, KK Dist, Tamilnadu, Pin.629165 India ("Company", "we", "us", or "our") and you ("User", "Customer", "Supplier", or "you") regarding your use of our e-commerce marketplace platform ("Platform") and related services.

1.2 Acceptance of Terms

By accessing, browsing, registering, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations of India. If you do not agree with these Terms, you must not use our Platform.

1.3 Legal Capacity

You represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into this agreement
• If representing an organization, you have the authority to bind such organization to these Terms
• Your use of the Platform complies with all applicable local, state, national, and international laws

2. Platform Description and Services

2.1 Marketplace Services

Our Platform operates as an intermediary marketplace facilitating transactions between suppliers and customers for:

• Energy-efficient products and equipment
• Renewable energy systems and components
• Energy storage solutions
• Energy monitoring and automation software and devices
• Related accessories and services

2.2 Role as Intermediary

We operate as a marketplace platform under the Consumer Protection (E-commerce) Rules, 2020. We do not manufacture, sell, or own the products listed on our Platform but facilitate transactions between independent suppliers and customers.

2.3 Commission-Based Model

Our revenue model is based on pre-agreed commissions from suppliers. Product pricing is set at supplier-recommended rates plus applicable taxes and charges.

3. User Registration and Accounts

3.1 Account Creation

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Types

• Customer Accounts: For purchasing products
• Supplier Accounts: For listing and selling products (subject to separate Supplier Agreement)

4. Payment Terms and Conditions

4.1 Payment Methods

We accept various payment methods including:

• Credit/Debit Cards
• Net Banking
• UPI
• Digital Wallets
• Bank Transfers

4.2 Payment Processing

All payments are processed through RBI-authorized payment aggregators in compliance with the Payment and Settlement Systems Act, 2007.

5. Returns and Warranty

5.1 Return Policy

Products may be returned within 7 days of delivery subject to:

• Original condition and packaging
• Supplier-specific return policies
• Applicable restocking fees

5.2 Warranty Terms

• Product warranties are provided by manufacturers/suppliers
• We facilitate warranty claims but are not directly liable for warranty issues
• Extended warranty options may be available for certain products

6. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount paid by you for the specific transaction giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our Platform.

7. Dispute Resolution

7.1 Governing Law

These Terms are governed by the laws of India, including:

• Indian Contract Act, 1872
• Information Technology Act, 2000
• Consumer Protection Act, 2019
• Payment and Settlement Systems Act, 2007

7.2 Jurisdiction

The courts of Kuzhithurai, Tamilnadu shall have exclusive jurisdiction over disputes arising from these Terms.
